These General Terms and Conditions apply to all work performed or to be performed by Syntagma / BMJ Beelen and to all legal relationships of Syntagma / BMJ Beelen with third parties.

The client owes Syntagma / BMJ Beelen a fee that is calculated on the basis of the number of hours spent, multiplied by the applicable hourly rate. The hourly rate is set annually by Syntagma / BMJ Beelen. In addition, the client owes Syntagma / BMJ Beelen any costs it pays on behalf of the client. Insofar as applicable, the client must pay the turnover tax due on all amounts due at the applicable rate. In principle, a monthly invoice will be charged for all activities and expenses. Any advance invoices will be settled with the interim invoices.

Insofar as covered by the Healthcare Insurance Act, the policy rules of the Dutch Healthcare Authority (NZa) apply with regard to the declaration of healthcare costs. Syntagma / BMJ Beelen will only submit the claim directly to that health insurer for direct payment by it to Syntagma / BMJ Beelen only insofar as it is covered by the (additional) health insurance policies of the client.

Invoices addressed to the client must be paid within 14 days of the invoice date. In the absence of timely payment, Syntagma / BMJ Beelen has the right to charge the statutory interest on the unpaid amount, from the 15th day after the invoice date. If the client believes that he is not obliged to pay for an activity, he will inform Syntagma / BMJ Beelen of this in writing and with reasons within fourteen days after the relevant invoice.

Syntagma / BMJ Beelen will consult with the client as much as possible in advance when engaging third parties. It is not liable towards the client for work to be performed by third parties engaged on behalf of the client. By means of

Syntagma / BMJ Beelen expenses paid on behalf of the client and costs of third parties will be charged itemized.

The cancellation conditions for consultations are as follows: appointments must be canceled at least two working days in advance by telephone or email. Appointments that are not fulfilled or canceled in time will be charged in full.

Unless specifically stipulated otherwise for a workshop or training, the cancellation conditions for training and workshops are as follows: Cancellation is only possible in writing. In case of cancellation up to six weeks before the start of the training or workshop, no costs will be charged. If canceled up to three weeks before the start of the training or workshop, 50% of the costs will be charged. After that, 100% of the cost will be charged. It is possible to have someone else participate in your place, provided that person meets the selection criteria.

Any liability of Syntagma / BMJ Beelen is limited to the amount to which there is a claim in the relevant case under the professional liability insurance policies it has taken out, plus the amount of the deductible that is not payable by its insurer according to the policy conditions.

Except in the case of intent or gross negligence on the part of Syntagma / BMJ Beelen, the client indemnifies it against all claims, claims and legal actions, as well as the damage, costs and expenses that Syntagma / BMJ Beelen suffers or incurs in connection with a such (legal) claim and/or claim that a third party has at any time against Syntagma / BMJ

Beelen may have or may set on it and which arise directly or indirectly from, or are related to, the work or services performed or to be performed by Syntagma / BMJ Beelen, for the client, and/or which are otherwise related to the assignment of the client to her.

The assignments given are carried out exclusively for the benefit of the client. Third parties cannot derive any rights from the performance of the work performed for the client.

The legal relationship between the client and Syntagma / BMJ Beelen, or other third parties, is subject to Dutch law. All disputes arising from that legal relationship will in the first instance be submitted, at the initiative of one of the parties, to an impartial mediator who is registered in the register of the Dutch Mediators Federation. If this mediation does not lead to an agreement that resolves the dispute, then everyone is free to submit the conflict to the civil court.
